A significant part of our work comprises of formation of companies, drafting
Incorporation documents, procuring all required statutory Licenses and approvals,
structuring and transactional documentation. We advise clients on various aspects of
Commercial law, namely EXIM policy, FEMA, SEBI and RBI Regulations. Our Corporate
practice area focuses on advising on the methods of structuring and restructuring
businesses and business organizations, including by demergers / spin-off of divisions
and businesses, amalgamation of two or more companies, buy-back of its shares by the
company, reduction of share capital, winding-up of its operations and repatriation of the
proceeds. In advising in relation to such structures, we keep in mind the importance of
ensuring that existing tax benefits continue to be available and devising a structure that
is efficient from a stamp duty and indirect tax perspective. We also assist our clients in
implementing such structures including by way of obtaining the requisite approvals of
the High Courts and / or other regulatory authorities |
